النظام القانوني للشركة القابضة في التشريع الجزائري

Abstract

يتناول هذا الموضوع دراسة مختلف الاحكام الخاصة بالشركة القابضة في التشريع الجزائري لاسيما ما يتعلق بمفهومها القانوني و علاقتها بالشركات التابعة لها، فضلا عن شروط تأسيسها و انقضائها، نظامها الإداري و المالي، إضافة إلى قواعد ضبط نشاطها سواء في القانون التجاري، القانون الجبائي و قانون المنافسة. و قد تم التوصل في نهاية الأطروحة إلى أن العدد القليل جدا من النصوص القانونية المتعلقة بالشركة القابضة في التشريع الجزائري لا يكفي للإلمام بالنظام القانوني لهذه الشركة، و لا لحل المشاكل القانونية و العملية التي يمكن أن تثار بصددها، لذا كان لزاما على المشرع أن يضع منظومة قانونية متكاملة تستوعب هذا المشروع الاقتصادي الضخم نظرا لأهميته محليا و دوليا. This topic deals with the study of the various provisions of the holding company in Algerian legislation, especially with regard to its legal concept and its relationship with its subsidiaries, as well as the conditions for its establishment and termination, its administrative and financial system, in addition to the rules for controlling its activity, whether in commercial law, tax law and competition law. It was concluded at the end of the thesis that the very small number of legal texts related to the holding company in the Algerian legislation is not sufficient to be familiar with the legal system of this company, nor to solve the legal and practical problems that may be raised in connection with it, so the legislator had to develop an integrated legal system that accommodates This huge economic project due to its importance locally and internationally.
