ضمانا لتسيير فعال للمؤسسات العمومية الاقتصادية، وحمايتها من أي تلاعبات قد تصدر من المسيرين أو أحد أعضاء مجلس الإدارة بالنسبة للتسيير، ونفس الشيء بالنسبة لعملية الرقابة، فإن المشرع وضع عدة ضوابط قانونية متمثلة في أحكام خاصة، وأحكام جزائية في قانون العقوبات تسمى جرائم القانون العام، وأخرى في القانون التجاري تسمى جرائم القانون الخاص لمعاقبة هذا النوع من التجاوزات التي من شأنها الإضرار بالمؤسسة وبسير هياكلها ويرهن استمرارها.In order to ensure the effective functioning of public economic institutions and to protect them from any manipulations that may be issued by the directors or a member of the Board of Directors in relation to governance, the same is true for the monitoring process.
