طرق تمويل شركة المساهمة البسيطة في التشريع الجزائري

Abstract

تعتبر شركة المساهمة البسيطة شكلا من الشركات التجارية التي تم استحداثها بمقتضى القانون رقم 22-09 الصادر في 5 ماي 2022، والذي يعدل ويتمم القانون التجاري الجزائري، وهدفت هذه الدراسة إلى الإحاطة بمختلف أساليب التمويل المتاحة لشركات المساهمة البسيطة، في ظل القاعدة التي تحظر اللجوء العلني للادخار وطرح أسهمها في البورصة، وسيتم ذلك من خلال التطرق إلى أسلوب التمويل عن طريق زيادة رأس المال، وأسلوب التمويل من خلال الاندماج. The simple joint-stock company is a form of commercial company that was established under Law No. 22-09 issued on May 5, 2022, which amends and supplements the Algerian Commercial Code. This study aimed to cover the various financing methods available for simple joint-stock companies, in light of the rule that prohibits public recourse to savings and the offering of their shares on the stock exchange. This will be addressed by discussing the method of financing through capital increase and the method of financing through mergers.
