التنظيم القانوني لشركة الشخص الواحد في مشروع قانون الشركات الإماراتي الجديد- دراسة مقارنة

Abstract

استحدث مشروع قانون الشركات التجارية الإتحادي في دولة الإمارات العربية المتحدة شركة الشخص الواحد، وذلك في إطار الشركات ذات المسؤولية المحدودة والمساهمة العامة والمساهمة الخاصة، الإ أن هذه الشركة لم تحظى بتنظيم قانوني مستقل، ولذلك تهدف هذه الدراسة إلى تسليط الضوء على مفهوم هذه الشركة والتنظيم القانوني لها وبيان مدى إعتبار شركة الشخص الواحد استثناءا من القاعدة، كما هو الحال في القانون النافذ أم أنها أصبحت قاعدة في حد ذاتها، كما تهدف هذه الدراسة إلى بيان مدى ملائمة النصوص القانونية الواردة في مشروع قانون الشركات الإتحادي وإقتراح التعديلات التشريعية لمواجهة أوجه القصور في النصوص القانونيه الناظمة لهذه الشركه بغية إيجاد ضوابط تشريعيه لتبني هذه الشركة. The Emirates’ Federal Draft Commercial Companies Law introduced the One-Person Company within the framework of Companies with limited liability, Public and Private Shareholding Companies. However, the One-Person Company does not introduced with special legal rules, or organization. This study aims at shedding the light on the concept of One-Person company, it legal rules, and the extent to which it can be considered as an exception of the general rules of companies within the current Companies Law, or that it become a distinct form of companies on its’ own merit. The study also aims at exploring to what extant the suggested legal rules in the Emirates’ Federal Draft Companies Law are appropriate , and to presents some legislative amendments to tackle any shortcomings in the suggested legal rules so as to pave the way to adopt the One-Person Company.
