Abstract

تخويل الأقلية في الجمعيات العامة للمساهمين حق الاعتراض ضد القرار محل التصويت، سلاح ذو حدين في مواجهة تحقيق المصلحة الجماعية للشركة، فان ساعدت هذه السلطة من جهة على تشكيل نقطة التوازن المنطقي والضروري لسلطة الأغلبية من اجل تحقيق إدارة جيدة وعلى تشجيع صغار المساهمين على الاستثمار في الشركة، الأمر الذي يؤدي إلى زيادة رأس مالها، لاسيما عند تنفيذها للمشاريع الكبرى. فإنها من جهة أخرى قد تؤدي إلى إفلاس الشركة في حالة أن كان القرار المعروض للتصويت في مصلحة هذه الأخيرة، غير أن الأقلية اعترضت عليه لتحقيق مصالحها الخاصة. لذلك على المشرع الجزائري ضبط سلطة الأقلية في الاعتراض على القرارات المعروضة للتصويت أمام الجمعية العامة للمساهمين للحيلولة دون تعسفها في استعمال حقها في الاعتراض.Authorizing the minority in the general assemblies of shareholders to veto the voting decision, a two- edged sword in the face of achieving the collective interest of the company, helped on the one hand to form the logical and necessary balance point of the majority authority to achieve good management and to encourage small shareholders to invest in the company, which leads to an increase in capital, especially when implemented for major projects.
